These Terms of Service govern your use of the Nonprofit Strategy Shop website and your purchase and use of products offered through the website.
Throughout these Terms, “Nonprofit Strategy Shop,” “NSS,” “we,” “us,” and “our” refer to Nonprofit Strategy Shop LLC. “You” refers to the person or organization accessing the website or purchasing or using an NSS product.
By accessing this website, placing an order, downloading a product, or using an NSS product, you agree to these Terms of Service. If you do not agree to these Terms, do not use the website or purchase or download our products.
1. About Our Products
Nonprofit Strategy Shop sells digital tools designed to help nonprofit leaders, staff members, board members, and organizations put nonprofit management practices into action.
Products may include spreadsheets, documents, slide decks, PDFs, templates, trackers, guides, kits, and other downloadable or digital resources.
Unless a product listing expressly states otherwise, NSS products are delivered electronically. No physical product will be shipped.
2. License to Use Purchased Products
When you purchase an NSS product, you receive a limited, nonexclusive, nontransferable license to use that product for your own work or for the internal work of one organization.
You may:
- Download and save the product for your own use.
- Customize editable products for the needs of your organization.
- Share the product internally with employees, board members, volunteers, or contractors who are using it solely on behalf of the same organization.
- Use the product in meetings, planning processes, training sessions, or other internal organizational activities.
- Print reasonable copies for internal organizational use.
Unless you have received written permission from NSS, you may not:
- Resell, sublicense, or redistribute the product.
- Share the original or modified product with another organization.
- Upload the product to a public website, shared template library, membership platform, file-sharing site, or publicly accessible drive.
- Give the product away as a free resource, incentive, bonus, or lead magnet.
- Claim the product or its underlying content as your own work.
- Remove copyright, ownership, or attribution notices included in the product.
- Use the product to create a competing product for sale or distribution.
- Include the product in consulting, training, or service packages sold to multiple clients unless you have obtained a separate commercial license from NSS.
Purchasing a product does not transfer ownership of the product or its intellectual property to you.
3. Consultants and Service Providers
A consultant, trainer, coach, or other service provider may use a purchased product within their own business operations.
A standard purchase does not permit the purchaser to distribute copies of the product to multiple clients or use the product as a reusable client deliverable.
A separate copy or appropriate license must be purchased for each client organization that will receive or retain the product unless NSS provides written permission for broader use.
4. Intellectual Property
The website and all NSS products, including their text, design, organization, instructions, templates, worksheets, formulas, frameworks, graphics, branding, and other original content, are owned by or licensed to Nonprofit Strategy Shop LLC and are protected by applicable intellectual-property laws.
“NSS,” “Nonprofit Strategy Shop,” and associated branding may not be used in a way that suggests sponsorship, endorsement, partnership, or affiliation without our written permission.
5. Product Customization
Many NSS products are designed to be customized. You are responsible for reviewing and adapting a product before using it within your organization.
Examples, sample language, recommended processes, formulas, prompts, timelines, and other content are provided as starting points. They may not be appropriate for every organization, jurisdiction, funding source, employment situation, board structure, or program.
Customizing a product does not transfer ownership of the original product or permit you to resell or redistribute it.
6. Educational Information and Professional Advice
NSS products and website content provide general educational and operational information.
They are not a substitute for advice from a qualified attorney, accountant, tax professional, human-resources professional, financial advisor, auditor, insurance professional, or other licensed or credentialed professional.
Nothing provided by NSS creates an attorney-client, accountant-client, consultant-client, fiduciary, or other professional relationship.
You are responsible for obtaining professional advice when making legal, financial, tax, employment, compliance, governance, or other decisions requiring specialized guidance.
7. No Guarantee of Results
NSS provides practical tools intended to support nonprofit work, but we do not guarantee any particular result.
We do not guarantee that using a product will result in funding, increased revenue, grant approval, regulatory compliance, improved performance, successful board action, reduced risk, or any other specific outcome.
Results depend on many factors outside our control, including how a product is customized, implemented, maintained, and used.
8. Product Information
We work to describe our products accurately and show customers what is included before purchase.
Product colors, formatting, appearance, and functionality may vary depending on the customer’s device, software, operating system, printer, or accessibility settings.
Customers are responsible for reviewing the product description and any listed software requirements before purchasing.
NSS may update, revise, rename, replace, or discontinue products at any time. A purchase does not include future versions or updates unless the product listing expressly states otherwise.
9. Orders and Payment
Prices are listed in U.S. dollars unless otherwise stated.
You agree to provide current, complete, and accurate billing and payment information. You represent that you are authorized to use the payment method submitted with your order.
We reserve the right to reject or cancel an order when we reasonably believe that the order:
- Contains inaccurate or fraudulent information.
- Violates these Terms.
- Involves unauthorized resale or redistribution.
- Was affected by an obvious pricing or technical error.
- Presents a security, payment, or legal concern.
If we cancel an order after payment has been processed, we will issue any refund legally required or otherwise appropriate under the circumstances.
10. Digital Delivery
Digital products are generally made available through a download page, download link, email, customer account, or another electronic delivery method.
You are responsible for providing a correct email address and maintaining access to the email account used for the purchase.
You are also responsible for downloading and securely storing your files. Download links may expire or have download limits.
If you experience a technical problem receiving or opening a purchased product, contact us at start@nonprofitstrategyshop.com. We will make reasonable efforts to help resolve legitimate delivery or file-access problems.
11. Refunds
Because NSS products are digital and customers receive access to the content shortly after purchase, purchases are generally final and nonrefundable once the product has been delivered or accessed.
We may provide a replacement file, store credit, or refund when:
- You were charged more than once for the same order.
- You received a product different from the product ordered.
- A technical defect prevents the product from functioning substantially as described and we cannot provide a working replacement.
- A refund is otherwise required by applicable law.
Dissatisfaction based on personal preference, failure to read the product description, lack of software needed to use an editable file, or a decision not to use the product generally does not qualify for a refund.
Additional details are provided in our Refund Policy. If these Terms conflict with the Refund Policy regarding a refund request, the Refund Policy will control.
12. Promotions and Discount Codes
Promotions and discount codes may be subject to additional conditions.
Unless otherwise stated, discount codes:
- Must be used before their expiration date.
- Cannot be combined with other offers.
- Cannot be applied retroactively.
- Have no cash value.
- May be limited to particular products, customers, or purchases.
We may modify or end a promotion as permitted by law.
13. Prohibited Website Use
You may not use the NSS website:
- For an unlawful, fraudulent, or abusive purpose.
- To violate another person’s intellectual-property, privacy, or other rights.
- To distribute malware, harmful code, spam, or unauthorized solicitations.
- To interfere with the security or operation of the website.
- To scrape, copy, reproduce, or systematically collect website or product content without permission.
- To attempt to gain unauthorized access to the website, customer accounts, systems, or data.
- To impersonate another person or provide false information.
- To post or transmit threatening, defamatory, discriminatory, obscene, or otherwise harmful material.
We may restrict or terminate website access when we reasonably believe these Terms have been violated.
14. Third-Party Services and Links
The website may use or link to services operated by third parties, including Shopify, payment processors, email providers, file-delivery services, analytics providers, social-media platforms, and other technology providers.
Third-party services are governed by their own terms and policies. NSS does not control and is not responsible for the content, security, availability, policies, or practices of third-party services.
A link to another website does not constitute an endorsement.
15. Customer Content and Information
When you submit information through the website, you represent that you have the right to provide it and that it is accurate to the best of your knowledge.
Our collection and use of personal information are described in our Privacy Policy.
Do not submit confidential client information, sensitive personnel records, protected health information, financial-account credentials, or other information that the website or a particular NSS tool is not designed to collect.
16. Reviews and Feedback
You may voluntarily provide reviews, suggestions, comments, or other feedback about NSS or its products.
You retain the right to express your honest opinions. We may use feedback you voluntarily provide to improve or promote our products, provided that we do not materially misrepresent your statements.
We will not publicly identify you or your organization in connection with private feedback without permission unless your identity is already part of a public review.
17. Disclaimer of Warranties
To the fullest extent permitted by law, the website and all NSS products are provided “as is” and “as available.”
We do not make warranties, express or implied, regarding merchantability, fitness for a particular purpose, accuracy, availability, compatibility, noninfringement, or uninterrupted operation.
We do not warrant that the website or products will be error-free, meet every customer’s needs, or work with every device, platform, software version, or organizational process.
Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
18. Limitation of Liability
To the fullest extent permitted by law, Nonprofit Strategy Shop LLC, its owners, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of, or inability to use, the website or an NSS product.
This includes, without limitation, loss of revenue, funding, data, opportunity, goodwill, productivity, or anticipated savings.
To the fullest extent permitted by law, our total liability arising from a product or transaction will not exceed the amount you paid NSS for the product giving rise to the claim.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, the limitations will apply only to the extent permitted by law.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Nonprofit Strategy Shop LLC, its owners, employees, contractors, and representatives from claims, losses, liabilities, and reasonable expenses arising from:
- Your unlawful use of the website or an NSS product.
- Your violation of these Terms.
- Your unauthorized resale, copying, or distribution of an NSS product.
- Content or information you submit through the website.
- Your violation of another party’s rights.
This provision does not require you to indemnify NSS for conduct for which indemnification cannot legally be required.
20. Termination
These Terms remain effective while you use the website or NSS products.
We may suspend or terminate your access to the website or revoke your product license if you materially violate these Terms, including by reselling or publicly distributing NSS products without permission.
Provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution will survive termination.
21. Changes to These Terms
We may update these Terms to reflect changes in our products, business practices, technology, or legal obligations.
The updated Terms will be posted on this page with a revised “Last updated” date. Changes will apply prospectively from their effective date unless applicable law requires otherwise.
Material changes will not retroactively remove rights already provided for a completed purchase unless permitted by law.
22. Governing Law
These Terms are governed by the laws of the State of NM, without regard to conflict-of-law principles.
Any dispute arising from these Terms, the website, or an NSS product will be brought in the state or federal courts located in NM, unless applicable consumer law provides you with the right to bring a claim elsewhere.
Before filing a legal claim, you and NSS agree to make a good-faith effort to resolve the matter informally by written communication.
23. Severability
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be enforced to the greatest extent permitted by law, and the remaining provisions will remain in effect.
24. No Waiver
Our failure to enforce a provision of these Terms does not waive our right to enforce that provision later.
25. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any product-specific terms presented at purchase, constitute the entire agreement between you and NSS regarding your use of the website and purchased products.
If product-specific terms conflict with these general Terms, the product-specific terms will control for that product.
